Manager Executive Board Coordination

Summary

The Manager Executive Board Coordination is a professional management‑side role responsible for structuring, coordinating, and quality‑assuring all Executive Board and corporate matters that require interaction with different stakeholders. The role ensures that the Executive Board of Scope Management SE as General Partner of Scope SE & Co. KGaA fulfills its reporting and approval obligations toward the Supervisory Board of the KGaA, interacts efficiently and professionally with the Supervisory Board & Foundation Affairs function, and maintains clear governance boundaries in a German SE / KGaA structure. The role does not substitute Supervisory Board support but act on behalf of the Executive Board.

Duties & responsibilities

1. Executive Board Governance & Decision Preparation

  • Organise and facilitate Executive Board meetings, including preparing agendas, recording minutes, and distributing documentation.
  • Assist in the preparation of board packs, ensuring that all relevant information is provided in a timely and accurate manner. Prepare resolutions of the individual bodies and committees and coordinate their implementation.
  • Act as the central coordination point for Executive Board matters requiring Supervisory Board approval or information.
  • Structure, review, and consolidate management proposals, reports, and decision papers before submission to Supervisory Board support.
  • Ensure that Executive Board submissions are decision‑ready, internally aligned, legally and economically coherent
  • Support the Executive Board in documenting its independent decision‑making responsibility under AktG and SE law.

2. Interface to Supervisory Board & Foundation Affairs

  • Serve as the formal counterpart to the Manager Supervisory Board & Foundation Affairs.
  • Coordinate timelines, responsibilities, and expectations amongst Executive Board and Supervisory Board support.
  • Ensure clean handovers of materials, avoiding informal or undocumented communication paths.
  • Support management responses to Supervisory Board requests, resolutions, and follow‑ups.

3. KGaA‑Specific Coordination (Management SE as General Partner) 

  • Ensure Executive Board compliance with KGaA‑specific approval requirements and reserved matters.
  • Support preparation of topics such as strategy and budget approvals, major transactions, risk, compliance, and audit matters
  • Safeguard the distinction between management responsibility (Vorstand Scope Management SE) oversight requirements (Aufsichtsräte KGaA, SE)
  • Coordinate Executive Board interaction with the stakeholders.
  • Prepare management input to decision bodies where required (e.g. reporting, strategic alignment).
  • Ensure consistency between corporate strategy and company objectives without impairing regulated independence.

 

4. Governance Quality & Documentation

  •  Maintain and update the company's corporate records, including the articles of association and other legal documents
  • Keep abreast of legal and regulatory changes affecting the company and ensure adherence to all relevant laws, including but not limited to Aktiengesetz (German Stock Corporation Act). Monitor and manage the filing of statutory documents with relevant authorities (commercial register, Transparency register, federal gazette etc.)
  • Work closely with internal stakeholders to identify and mitigate legal and compliance risks. Assist in the development and implementation of policies and procedures.
  • Maintain and strengthen effective corporate governance practices in compliance with German corporate laws and regulations.
  • Ensure Executive Board documentation meets audit, litigation, and regulatory standards.
  • Maintain high standards of confidentiality, insider information handling, and conflict‑of‑interest awareness.
  • Contribute to governance effectiveness reviews from a management‑side perspective.

Professional & personal qualifications

Desirable Education

  • University degree in Business Administration, Economics, Law, or similar.
  • An advanced degree (e.g. LL.M., MBA, Master’s) is desirable.
  • Fluent in English and German; additional languages a plus

Professional Background

  • 8+ years of relevant professional experience in senior management support, corporate governance, board support, senior corporate functions.
  • Proven experience working with or for Boards in Germany or comparable jurisdictions.
  • Assured exposure to Executive Board‑level decision processes.
  • Strong understanding of German corporate law (AktG), governance standards, and foundation law.
  • Solid working knowledge of AktG, KGaA and SE governance
  • Experience in regulated or complex organizational environments is an advantage.

Skills

  • Excellent structuring and synthesis skills for complex management topics and ability to translate complex issues into clear activities.
  • Ability to operate confidently with Board requirements with clear understanding of governance boundaries and escalation logic.
  • Strong organizational and project‑management capabilities.
  • Confident communication skills at board and senior management level.
  • Ability to work independently, proactively, and under time pressure.
